General rules
Service www.zoje-europe.com is designed to place orders for Products from the ZOJE EUROPE, hereinafter: Zoje website.
These Regulations, hereinafter referred to as the "Regulations" defines the rules, terms, and conditions of use of the website available under the domain www.zoje-europe.com, and users rights and obligations.
Whenever these Terms and Conditions refer to:
a) Client - shall be understood as an foreign entrepreneur/undertaking within the meaning of the Act of 2 July 2004 on freedom of economic activity (23 ). Our customer cannot be end consumer within the meaning of the Civil Code Act dated 23 April 1964.
b) General Distributor – shall be understood as a general distributor of the Zoje sewing machines in Europe, Strima sp. z o.o. company, with its registered office at Swadzim, ul. Poznańska 54, 62-080 Tarnowo Podgórne (Poland). Entered into the register of entrepreneurs kept by the District Court for the Capital City Poznań – Nowe Miasto I Wilda in Poznań Commercial Division of the National Court Register under KRS number: 0000064216, NIP (Tax Identification Number): 7810000099, shared capital: 1 347 260 PLN (hereinafter referred: Strima)
c) User - shall be understood as a natural person using a www.zoje-europe.com online site.
d) Distributors Zone - shall be understood as an online application used for sales support and customer service. Distributor Zone is available under the domain www.zoje-europe.com.
e) Buyer - shall be understood as a Distributors Zone registered Customer,
Products - shall be understood as Zoje industrial sewing machines, which may be acquired over Distributors Zone,
f) Working days - shall be understood as working days from Monday to Friday, not including public holidays indicated by Strima.
g) Customer Account – shall be understood as account created in Distributors Zone earmarked to a specific Buyer,
h) Regulations – shall be understood as these Terms of Use,
These Regulations, hereinafter referred to as the "Regulations" defines the rules, terms, and conditions of use of the website available under the domain www.zoje-europe.com, and users rights and obligations.
Whenever these Terms and Conditions refer to:

e) Buyer - shall be understood as a Distributors Zone registered Customer,
Products - shall be understood as Zoje industrial sewing machines, which may be acquired over Distributors Zone,
f) Working days - shall be understood as working days from Monday to Friday, not including public holidays indicated by Strima.
g) Customer Account – shall be understood as account created in Distributors Zone earmarked to a specific Buyer,
h) Regulations – shall be understood as these Terms of Use,
Distributor Zone
Distributor Zone is solely addressed to Customers that are carrying out economic activities of an industrial or commercial nature by offering goods or services on the market.
Prior to registration in Distribiutors Zone, Customer is obliged to become acquainted with Terms of Use and accept the following Regulations also in case of doubt, it shall be assumed that Customer using Zoje online site, has agreed to its Regulation and fully accepts its conditions.
Through the Distributors Zone, Strima provides following services:
a) order and purchase of Products,
b) information about individual wholesale price level for Buyer, c) providing information on billing, d) providing information about the orders made via the Zoje website,

Technical requirements
Technical requirements that are essential for co-operation with the IT system, which Strima uses:
a) Computer or any electronic device with internet access, b) Internet browser with enabled cookies files option, c) e-mail account. It is forbidden for Buyer to provide Strima with any unlawful content.
Strima informs every user, that Zoje online site is using a cookies files, which are stored in a every users device and are necessary to use the Zoje site. Specific information about the cookie files are placed further in Regulations.

Registration process
Browsing publicly accessible content of ZOJE Service does not require signing up or logging in the Service.
Distributor Zone is accessible for register users only.
In the framework of the registration process, Customer is obliged to fill the registration form with following attachments: - writing statement declaring purchase intent of the Zoje sewing machines with the ambition to deliver these products and to the market, - additional documents that confirm a current registration of an enterprise. General Distributor will provide Buyer – on behalf of the Zoje site – with following information:
- orders placed via Zoje online site, - information about purchased Product prices, - information on the status of orders. General distributor reserves the right to make any changes concerning the information stated above without further notice. These amendments are not considered as Regulations change.
General distributor agrees to grant the Buyer a login and password to the Distributors Zone.
Registration process ends with the commercial agreements between the Buyer and General Distributor.
General distributor states that the access to any information will be permitted only on the basis of the granted login and password, filled by the Buyer at Distributors Zone registration form.
Please treat your login information as confidential and do not show to any third persons. An order placed by anyone else using your e-mail and password will be shipped to the address given in the registration form, at the charge of a registered user.
Any information obtained as a result of system access confidential information. Recipient agrees to keep it confidential. In case of no secrecy by the Buyer, General Distributor reserves the right to unilaterally terminate the cooperation with immediate effect.
Distributor Zone is accessible for register users only.

Orders
Order can be placed by The Buyer via the Distributor Zone using a personal login and password.
General distributor is not obliged to investigate whether the person making and confirming the order is authorized if the correct login and password had been used.
Order Confirmation will be sent by the General Distributor via e-mail.
Recipient agrees to treat the orders placed via Distributors Zone on a par with the written order.
The Parties agree that accepting a confirmation of the order by the Buyer synonymous with concluding the sale agreement by the Parties and will be approved by VAT invoice by the General Distributor.
For all orders from EU countries: Austria, Belgium, Bulgaria, Croatia, Cyprus, Czech Republic, Denmark, Estonia, Germany, Greece, Finland, France, Hungary, Ireland, Italy, Latvia, Lithuania, Luxemburg, Malta, Portugal, Romania, Slovakia, Slovenia, Spain, Sweden, The Netherlands and United Kingdom, all we need is a confirmed EU VAT/turnover tax identification number. You'll get an invoice with 0% VAT value.
Online orders from outside European Union will be treated as a request for offer - they do not obligate to purchase. After calculation of total transportation costs we will present the final offer.

Orders placed and paid before 12 AM (12:00 GMT+1) working day, will be shipped the same day. In case the ordered product has run out - we will ship it after refilling our stock (you won't have to wait for the available products - such will be shipped immediately).
Delivery type: • Courier forwarder or regular post at my expense • I will organize the transport myself, please confirm FOB conditions
Deliveries in the European Union are realized through various courier companies (e.g. Dachser, DHL, FedEx, GLS, Kuehne + Nagel, Raben), depending on the parcel's character and parameters. The cost of parcels' delivery to every place in European Union, including insurance, amounts to: • 25 EUR net for orders up to 300 EUR net • up to 10% of the net order value for orders over 300 EUR net • orders over 3000 EUR net value (or the equivalent in USD) will be delivered to any place in European Union free of charge (excluding Auctions)
Shipment costs are automatically invoiced as a separate position.
We do not charge any additional fees - you pay only for the goods and their transport. In case you unjustified don't pick up shipped products - they will go back to Strima Sp. z o.o. and you will be charged for the shipment.
Customers out of the European Union
All ordered and available products will be shipped after customs clearance. In case the ordered product has run out - we will ship it after refilling our stock (you won't have to wait for the available products - such will be shipped immediately). Of course you may wish to suspend shipment until we have all the products you ordered.
Our offer is ex-works, Swadzim/Poznan Poland. When finalising order, the Customer chooses delivery type.
Delivery type: • CIP - delivery with insurance • I will organize the transport myself, please confirm FOB conditions
If you let us organize the transport, you will be informed about its costs every time before shipment. If you do not accept them you will have the possibility to resign from the order. However, we always choose the customer's optimum.
We do not charge you with any additional fees - you pay only for the goods and their transport. The Customers outside the European Union are asked to order reasonably, because costs of the formalities and clearance fees may make product's return imposssible or economically unfounded.

Purchase security
General Distributor uses the most secure methods of protection and data transmission. Protocol SSL encrypts, validates and ensures the integrity of the message. After login in (connecting with secure WWW site) the user is informed about this. Domain "http" changes into "https" and in the bottom right side of the Internet Explorer browser bar appears padlock symbol. In Firefox and Opera browsers padlock symbol appears on the navigation bar. By clicking on the padlock symbol you can check the identity of the server www.strima.com , which authenticity is confirmed by the GeoTrust certificate.
Prices
Prices of Products specified in the current price list are exclusive to the individual Buyer. We reserve the right to cancel transactions, in a situation where, for technical reasons, the price shown on the internet is wrong, and a customer would not accept the correct amount. Costs arising from this title will not charge customer.
Guarantee, warranty
General distributor states that Products merchandised by him are offered for resale and are of high quality.
When making purchases via the Distributor Zone, the Buyer agrees to assume full responsibility for the Product, granting the guarantees and service for the re-sold Product to the end user.

The complaint proceedings
The Buyer can file a complaint, if the services provided by the General Distributor are performed improperly.
The complaint requires written form and has to be send to the following address: "Strima" sp. z o.o. Swadzim, ul. Poznan 54, 62-080 Tarnowo Podgórne.
The content of the complaint must underline the objections related to the performance of services by the General Distributor and address or e-mail of the the Buyer.
General distributor has to review the complaint within 14 days following its receipt. The result of the complaint has to be delivered to the Buyer via the postal or e-mail address indicated in the complaint.
The complaint requires written form and has to be send to the following address: "Strima" sp. z o.o. Swadzim, ul. Poznan 54, 62-080 Tarnowo Podgórne.
The content of the complaint must underline the objections related to the performance of services by the General Distributor and address or e-mail of the the Buyer.
General distributor has to review the complaint within 14 days following its receipt. The result of the complaint has to be delivered to the Buyer via the postal or e-mail address indicated in the complaint.

Personal Data Administrator of the Buyers is Strima sp. z.o.o. Strima” sp. z o.o. with its registered office at Swadzim, ul. Poznańska 54, 62-080 Tarnowo Podgórne (Poland).
According to legal regulations, and in particular the Personal Data Protection Act of the 29th of August 1997 (Official Gazette 2002, No. 101, entry 926 with subsequent amendments) – as follows: The Act. Strima ensures the security of all personal data received as a result of the conducted purchase on Zoje online site.
Strima assures that personal data of our customers will be processed only for the purpose of the contract (order) and for marketing purposes when customer has given additional consent to the processing of personal data pursuant to art. 23 law 1 point 1 of the Act "On Protection of Personal Data".
In the cases and under the conditions specified in this Act customers have the right to demand that the data be completed, updated, rectified, temporarily or permanently suspended or erased, if they are incomplete, outdated, untrue or collected in violation of the DPA, or if they are no longer required for the purpose for which they were collected. Customers also have the right to file a substantiated demand in writing, in certain cases, to have the data processing halted.
Strima Sp. z o.o. will not process or make available to others the data about the customers, and purchases made by the customers.

The Buyer, who does not accept the changes to the Regulations is obliged to discontinue any use of the Zoje Service and terminate in the procedure described in the Regulations. Using the Service after the posting of the revised regulations will be treated as consent Recipients of these changes.
